Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of https://blackneuron.ai (the “Site”) and any services provided by BlackNeuron AI (“BlackNeuron,” “we,” “us,” or “our”). By accessing the Site or engaging our services, you agree to be bound by these Terms.

2. Services

BlackNeuron provides Patent-Pending Adaptive DDoS Testing, multi-vector DDoS simulation, and Cloud Resilience Engineering services for enterprise clients across AWS, Azure, GCP, and on-premise environments (the “Services”). Specific scope, deliverables, pricing, and timelines for any engagement will be set out in a separate written statement of work (“SOW”) signed by both parties. In the event of any conflict between these Terms and an SOW, the SOW controls for that engagement.

3. Authorization Requirement (Critical)

DDoS testing requires explicit, written authorization from the legal owner of the target infrastructure. You may engage BlackNeuron to perform Services only against systems you own or have explicit written authorization to test. You represent and warrant that, for every target included in an engagement, you (a) own the target infrastructure or are duly authorized by the legal owner to commission testing, and (b) have obtained any consents, regulatory clearances, or third-party permissions required under applicable law.

You agree to indemnify and hold BlackNeuron harmless from any claim arising from unauthorized testing performed at your direction.

4. Acceptable Use of the Site

You agree not to:

• Use the Site for any unlawful purpose or in violation of applicable law.
• Attempt to gain unauthorized access to the Site, our infrastructure, or any related systems.
• Interfere with or disrupt the Site, its servers, or networks.
• Use the Site to attack, probe, or otherwise stress-test third-party systems without authorization.
• Misrepresent your identity, affiliation, or authorization in any contact-form submission or engagement.

5. Intellectual Property

All content on the Site, including but not limited to text, graphics, logos, the BlackNeuron name and marks, and our Patent-Pending Adaptive DDoS Testing methodology and underlying technology, is the property of BlackNeuron AI or its licensors and is protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our intellectual property other than the limited right to view the Site for your own non-commercial information.

BlackNeuron’s Adaptive DDoS Testing technology is subject to one or more pending patent applications.

6. Confidentiality

During an engagement, each party may receive information designated as confidential by the other. Each party agrees to protect the other’s confidential information with reasonable care and to use it solely for purposes of the engagement. The specific confidentiality terms applicable to any engagement will be set out in the SOW or in a separate mutual non-disclosure agreement.

7. Test Results and Reporting

Test reports we deliver under an engagement are provided for your internal use. You agree not to disclose, publish, or repackage our reports for sale or to third parties without our prior written consent, except as required by law or as expressly permitted in the SOW.

8. Disclaimer of Warranties

The Site and any Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by applicable law, BlackNeuron disclaims all warranties, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade. DDoS testing is an inherently stressful activity for tested systems. While we apply industry best practices and controlled methodology, we do not warrant that testing will identify all vulnerabilities or prevent future incidents.

9. Limitation of Liability

To the maximum extent permitted by applicable law, BlackNeuron will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation lost profits, lost revenue, lost data, business interruption, or cost of substitute services, arising out of or related to the Site or the Services, even if advised of the possibility of such damages. Our aggregate liability arising out of or related to any engagement shall not exceed the fees paid by you to us under that engagement during the twelve (12) months immediately preceding the event giving rise to the claim, except as otherwise provided in the SOW.

10. Indemnification

You agree to indemnify, defend, and hold harmless BlackNeuron AI and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your breach of these Terms, (b) your violation of any applicable law, (c) your unauthorized testing of any system, or (d) your use of any test results or reports we deliver.

11. Termination

We may terminate or suspend your access to the Site at any time, with or without notice, for any reason, including without limitation breach of these Terms. Upon termination, the provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 5 (Intellectual Property), 6 (Confidentiality), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 13 (Governing Law).

12. Modifications

We may modify these Terms from time to time. The “Last Updated” date at the top of this page reflects the most recent revision. Continued use of the Site after changes constitutes your acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws applicable at the principal place of business of BlackNeuron AI, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts at that location, except where required otherwise by applicable consumer-protection law.

14. Severability and Entire Agreement

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect. These Terms, together with any executed SOW and our Privacy Policy, constitute the entire agreement between you and us regarding the Site and the Services and supersede any prior or contemporaneous agreements on the same subject matter.
